BIBC does not provide operational implementation services, management services, or decision-making authority on behalf of clients. Responsibility for implementation, execution, and operational outcomes remains exclusively with the client organization or individual engaging our services.

2. Eligibility and Authority

By accessing this website or engaging the services of BLOOM International Business Consulting Ltd. SEZC, you represent that you have the legal capacity to enter into binding agreements and, where applicable, the authority to act on behalf of the organization you represent.

If you are acting on behalf of a company, government entity, or other organization, you further represent and warrant that you are authorized to bind that organization to these Terms of Service. In such circumstances, references in these Terms to “you” or “client” shall apply both to the individual accessing the services and to the organization on whose behalf the services are accessed.

3. Advisory Nature of Services

All services provided by BIBC are advisory, analytical, and informational in nature. The insights, observations, analyses, and recommendations delivered through our services reflect professional judgment based on the information available at the time of the engagement.

These services are not intended to constitute legal, financial, tax, regulatory, or investment advice. Clients are responsible for seeking independent professional advice where such regulated expertise may be required.

The purpose of BIBC services is to provide analytical perspectives on transformation conditions, governance architecture, and organizational decision dynamics. All strategic, operational, or governance decisions arising from such analysis remain the responsibility of the client.

4. No Reliance on Advisory Analysis

While BIBC endeavors to provide rigorous and thoughtful analysis, clients acknowledge that organizational outcomes depend on numerous variables outside the control of BIBC, including but not limited to internal organizational dynamics, market conditions, leadership decisions, operational constraints, and external economic or regulatory factors.

Accordingly, clients agree that the information and analysis provided through BIBC services shall not be relied upon as the sole basis for business, governance, or strategic decisions. BIBC does not guarantee specific outcomes, results, or performance improvements arising from the use of its advisory services.

5. Client Responsibility for Implementation

BIBC provides structural analysis, advisory insight, and transformation diagnostics intended to illuminate organizational conditions and decision dynamics. However, responsibility for interpreting and implementing such insights rests entirely with the client.

Clients retain full responsibility for any actions taken as a result of consulting engagements, including decisions related to governance, leadership, operational change, or transformation initiatives. BIBC shall not be responsible for the consequences of decisions made or actions taken by clients following the completion of advisory engagements.

6. Intellectual Property and Proprietary Methodologies

All intellectual property associated with the services provided by BLOOM International Business Consulting Ltd. SEZC remains the exclusive property of BIBC.

This includes, without limitation, The BLOOM Advantage™ framework, TORC™ (Transformation Ownership Reality Check), proprietary analytical models, transformation architecture methodologies, conceptual frameworks, diagrams, written analyses, reports, and any other materials or methodologies developed or delivered in the course of providing services.

These materials constitute proprietary intellectual property and may not be reproduced, redistributed, reverse engineered, taught, licensed, commercialized, or otherwise exploited for commercial purposes without the prior written consent of BIBC.

Clients may use materials provided through consulting engagements solely for internal strategic or organizational purposes within their own organization. No transfer of intellectual property rights is implied or granted by the provision of advisory services.

7. Confidentiality

BIBC recognizes that consulting engagements may involve the disclosure of confidential or sensitive information. Information shared by clients in the course of advisory engagements will be treated as confidential and used solely for the purpose of delivering consulting services.

BIBC will not disclose confidential client information to third parties except where disclosure is required by law or necessary for the provision of agreed services.

8. Engagement Terms and Payments

Specific commercial terms, including fees, payment schedules, and scope of services, may be defined in separate engagement agreements between BIBC and the client.

Unless otherwise specified in writing, advisory sessions and consulting engagements require advance scheduling and may require advance payment. Once consulting time has been reserved or services have been delivered, such fees may be considered earned and non-refundable except where otherwise agreed.

Where a written consulting agreement exists between BIBC and a client, the terms of that agreement shall govern the commercial relationship between the parties.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BLOOM International Business Consulting Ltd. SEZC shall not be liable for indirect, incidental, consequential, or special damages arising from the use of its services or from reliance on information provided during advisory engagements.

This limitation includes, but is not limited to, loss of revenue, loss of profit, loss of business opportunities, operational disruption, or other economic losses.

In all circumstances, the total liability of BIBC, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

10. Indemnification

Clients agree to indemnify and hold harmless BLOOM International Business Consulting Ltd. SEZC from any claims, liabilities, damages, or expenses arising from the misuse of advisory materials, the misinterpretation of analytical insights, or decisions made by the client following the provision of consulting services.

11. Website Use

Users of this website agree not to use the website in any manner that could damage, disable, overburden, or impair the website or interfere with other users’ access to the website.

Users further agree not to copy, reproduce, distribute, or otherwise use proprietary content from this website for commercial purposes without the prior written consent of BIBC.

12. Payment, Cancellations, and Refunds

Payments: All payments for TORC™ diagnostics or advisory sessions must be made in full via our authorized payment processors (Airwallex) before services are rendered or access is granted to proprietary tools.

Cancellations: Advisory sessions may be rescheduled with at least 48 hours' notice. Cancellations made less than 24 hours before a scheduled session may be subject to a 50% cancellation fee.

Refunds: Due to the digital and intellectual nature of our proprietary diagnostics (TORC™) and immediate access to expert analysis, all sales are final once access has been granted or the consultation has commenced. 13. Information We Collect
